IMPORTANT—PLEASE READ CAREFULLY. These Terms and Conditions (“Terms”) are a binding contract between you and Peptide Tech. They govern (i) your access to and use of our Site, and (ii) your inquiry, purchase, receipt, storage, transfer, use, and disposal of our research-use-only (“RUO”) products (“Products”).

By clicking “I agree,” placing an order, creating an account, or using the Site, you accept these Terms on behalf of yourself and (if applicable) the entity you represent, affirming you have the authority to bind that entity. If you do not agree, do not use the Site or purchase Products.

 

Key Notices (Summary)

 

  • RUO Only: Products are NOT for diagnostic, therapeutic, compounding, cosmetic, household, or human/animal administration.
  • Shipping Risk: If Route Shipping Protection is NOT purchased, you bear all risk of loss, damage, theft, or non-delivery after we tender the package to the carrier (FOB Origin). See Section 4B.
  • Chargebacks: Initiating a chargeback for a carrier-related issue when you did not purchase Route is a material breach of this contract. See Section 3B.
  • Disputes: Wyoming law and venue apply. You waive your right to a jury trial and participation in class actions. See Section 18.
  • Liability: Limits on our liability and a one-year statute of limitations apply to all claims. See Sections 10 and 19.

These Terms incorporate and summarize the following documents, which control in case of any discrepancy regarding returns, shipping, or refunds:

  • Returns, Refunds, Shipping & Compliance Policy (the “Shipping & Returns Policy”).
  • Privacy Policy.
  • Any other posted policies referenced herein.

 

1. Purpose, Scope, and Product Use

1.1 RUO Status; No Medical/Diagnostic Use

 

ALL Products are “FOR RESEARCH USE ONLY (RUO)” and are not authorized by the FDA or comparable regulators for clinical use. Nothing on the Site constitutes medical advice.

 

1.2 Customer RUO Obligations (Summary)

 

You agree to:

  • Use Products solely for research under competent supervision.
  • Ensure personnel are trained and facilities comply with OSHA Lab Standards and Hazard Communication (HazCom) rules.
  • Handle, store, and dispose of Products consistent with the SDS/COA and applicable EPA/RCRA hazardous-waste rules.
  • Not repackage, formulate, compound, or prepare dosage forms for human or animal use.
  • Maintain traceability records and provide attestations upon request.

 

1.3 Export Controls, Sanctions, and Anti-Diversion

 

You warrant compliance with all U.S. export-control and sanctions laws (e.g., EAR, OFAC). Prohibited channels include reshippers, freight forwarders, virtual mailboxes, PO Boxes, and any unknown end-user. We may refuse, cancel, or recall shipments if diversion or misuse is suspected.

 

1.4 Enforcement and Remedies

 

Any breach of the RUO designation or compliance rules is material and may result in immediate order cancellation, account termination, a permanent ban on all identifying information (IP, address, name), and notification to authorities.

 

2. Eligibility, Credentials & Customer Representations

 

 

2.1 Qualifications and Compliance

 

You represent that individuals who handle Products are trained in laboratory safety. You warrant that your facilities maintain a Chemical Hygiene Plan and all required licenses/permits.

 

2.2 Age & Verification

 

You must be 18+ (or the legal age in your jurisdiction). We may require identity and institutional credential verification (e.g., government-issued ID, professional email) and conduct KYC/sanctions screening. Failure to verify may result in order cancellation.

 

2.3 Indemnity for Misuse/Diversion

 

You shall defend and indemnify Peptide Tech against any and all claims, losses, fines, damages, and costs (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse, diversion, or unlawful end-use of the Products.

 

3. Orders, Pricing, Payment, and Cancellations

 

 

3.1 Contract Formation

 

Listings and quotes are invitations to treat. Your order is an offer. A binding contract forms only upon our Sales Order Confirmation (“SOC”) or shipment notice. We reserve the right to accept or reject any order.

 

3.2 Pricing and Taxes

 

Prices are in USD and are subject to change until acceptance. Prices exclude all taxes, duties, and fees, which are your responsibility unless you provide a valid exemption certificate.

 

3.3 Cancellations

 

Orders are generally non-cancelable and non-changeable after placement to the fullest extent permitted by law.

 

3B. ACH/Card Terms, Chargebacks & Payment Disputes

 

 

3B.1 Good-Faith Notice

 

For transactions, you agree to open a support ticket and allow us up to 14 calendar days to investigate/resolve any issue before initiating any chargeback or reversal. All chargebacks must be in accordance with our terms.

 

3B.2 Carrier-Issue Carve-Out (Route)

 

If you did not purchase Route Shipping Protection (§4B), you agree not to initiate a chargeback or dispute for any carrier-related issue (loss, damage, theft, misdelivery, non-delivery, or delay) to the fullest extent permitted by law. Filing such a chargeback is a material breach of this contract.

 

3B.3 Breach Consequences & Collections

 

If you file a prohibited chargeback, we may pursue all available civil remedies (including for breach of contract and fraud), report suspected fraud to payment networks, and initiate legal action to recover all costs, fees, and interest, which may be filed in your local county/city (see Section 18).

 

4. Shipment, Title, and Risk of Loss

 

 

4.1 Territory and Channels

 

We ship within the United States to verifiable street addresses only. We do not ship to P.O. Boxes, APO/FPO, parcel lockers, or freight forwarders.

 

4.2 Title; Risk of Loss; Tender to Carrier

 

Title and risk of loss transfer to you upon tender to the carrier (FOB Origin), unless you purchase Route Shipping Protection, which reallocates that risk (see §4B).

 

4.3 Address and Delivery

 

You are solely responsible for providing a complete, deliverable address. A carrier “Delivered” scan constitutes delivery. Orders returned as undeliverable may be refunded minus shipping costs or reshipped at your expense.

 

4B. Route Shipping Protection—Mandatory Claim Path

 

  • If purchased: All shipping claims (loss, damage, theft) must be submitted directly to Route via their Resolve Center (claims.route.com). Peptide Tech cannot process or decide these claims.
  • If NOT selected: Peptide Tech is NOT responsible for any loss, damage, theft, non-delivery, or delay after tender to the carrier, to the fullest extent permitted by law. You must pursue remedies directly with the carrier.

 

5. Returns Workflow & Exclusive Remedies

 

 

5.1 Inspection and Notice

 

Inspect shipments immediately. Report shipping/tamper/pick errors within 14 days (with photos/video). Report other order issues within 30 days.

 

5.2 Exclusive Remedies

 

Your sole and exclusive remedies for nonconforming or shipping-related issues are those detailed in the Shipping & Returns Policy: verified exchange or refund (store credit or cash back) per policy terms.

 

6. Warranty Disclaimers and Limitation of Liability

 

 

6.1 Warranty Disclaimer

 

ALL PRODUCTS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

 

6.2 Limitation of Liability

 

PEPTIDE TECH, ITS AFFILIATES, AND PERSONNEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including, but not limited to, lost profits or data. Our total liability for any claim arising out of these Terms or the Products shall not exceed the amount you paid to us for the Products giving rise to the claim. This limit applies to the maximum extent permitted by law.

 

7. Indemnification & Duty to Defend

 

You agree to defend, indemnify, and hold harmless Peptide Tech against any and all claims, losses, liabilities, fines, damages, costs, and expenses (including reasonable attorneys’ fees) arising from:

  1. Your breach of these Terms or any applicable Law.
  2. Your misuse, diversion, or unlawful end-use of the Products.
  3. Your failure to implement and maintain compliant safety, handling, storage, transport, or disposal practices (including under OSHA, EPA/RCRA, and DOT/HMR).

 

8. Governing Law, Venue & Dispute Resolution

 

 

8.1 Governing Law

 

This Agreement is governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.

 

8.2 Waiver of Jury Trial and Class Action

 

YOU AND PEPTIDE TECH WAIVE ANY RIGHT TO A JURY TRIAL in any dispute arising out of this Agreement. You further agree to WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

 

8.3 Venue

 

The exclusive venue for any legal action or proceeding shall be the state or federal courts located in Sheridan, Wyoming.

  • Collections Carve-Out: Notwithstanding the above, we reserve the right to initiate a collections action against you for non-payment (e.g., after a prohibited chargeback) in the court of competent jurisdiction in the county or city where you are located.

 

9. Miscellaneous Provisions

 

  • Statute of Limitations: You agree that any claim or cause of action arising out of or related to these Terms or the Products must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
  • Modifications: We may modify these Terms prospectively. The updated Terms will be posted on the Site with a new effective date, and your continued use constitutes acceptance of the new Terms.
  • Severability: If any part of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Entire Agreement: These Terms (including all incorporated Policies) constitute the entire agreement between you and Peptide Tech regarding your purchase and use of the Products, superseding all prior agreements or communications.

 

10. Acknowledgement & Acceptance

 

By clicking “I Agree” or completing a purchase on peptide-tech.com, you acknowledge that you have read, understand, and agree to these Terms and Conditions, and that you accept full responsibility for the purchase, handling, and use of the Research-Use-Only Products from Peptide Tech.
